We are seeking a dynamic and motivated Company Secretarial Intern to join our team. The Company Secretarial Intern will support our in-house company secretarial team in handling corporate governance and compliance matters for group entities across multiple jurisdictions, including both listed and non-listed companies. The role offers exposure to cross-border corporate secretarial work, listed company requirements, and day-to-day corporate governance operations.
Key Responsibilities
Corporate Secretarial Support (Hong Kong & Global)
Support the end-to-end compliance process for Hong Kong and offshore entities, including the preparation and filing of annual returns, board/shareholder resolutions, share transfers, changes of directors etc.
Maintain accurate statutory registers and minute books, while gaining hands-on experience with specialized entity management databases across multiple jurisdictions.
Support incorporation, deregistration, change of company name, registered office and other lifecycle events of group companies.
Draft professional corporate documents, including Board and Shareholder resolutions, minutes, and collate supporting documentations, ensuring high standards of corporate governance.
Regulatory Filings & Compliance
Assist with filings to the Hong Kong Companies Registry and other regulators in relevant jurisdictions, under supervision.
Help monitor key filing deadlines and maintain compliance checklists to ensure the group meets all regulatory obligations.
Conduct basic research on company law, listing rules, corporate governance, anti-money laundering, data protection regulations and requirements in both Hong Kong and selected foreign jurisdictions.
Assist in the Know-Your-Customer (KYC) process and collate due diligence documentation for bank accounts or corporate transactions.
General Administrative Support
Maintain organized electronic and physical filing systems; manage data entry, document formatting, and digitization to ensure records are audit-ready.
Assist the onboarding team with corporate documentation requests.
Contribute to ad-hoc projects, process improvements, and internal governance initiatives as required.
Requirements
Bachelor’s degree or undergraduate students in finance, accounting, auditing, business administration or related fields.
Previous internship or relevant experience in Corporate Governance or Company Secretary is highly preferred.
Basic understanding of Hong Kong Companies Ordinance and company secretarial practice; exposure to listing rules or corporate governance principles is a plus.
Discreet and professional, with a strong sense of confidentiality and integrity.
High attention to details and accuracy in handling legal and corporate documents.
Proficiency in both Chinese (Cantonese and Mandatory) and English with good reading and writing skills is mandatory.
Excellent communication skills with strong ability to manage both internal and external stakeholders.
Good command of MS Office (Word, Excel, PowerPoint) and familiarity with document management tools.
